ACCEPTABLE USE POLICY (AUP)

This Acceptable Use Policy (this "AUP") governs your access to and use of the Canyon Services as well as third-party products, applications, or functionalities that interoperates with Canyon’s Services and incorporate artificial intelligence. By using or otherwise interacting with the software or documentation, delivering, or receiving services that interoperates with Canyon’s Services and incorporate artificial intelligence, you agree to be bound by the terms of the Master Service Agreement ("MSA") and this Policy. Canyon reserves the right to amend, alter, or modify your conduct requirements as set forth in this AUP

at any time. By downloading and utilizing Canyon products, including but not limited to Aiding App and Advising App, you accept and agree to be bound and

abide by this AUP. Unless explicitly defined otherwise in this Policy, all capitalized terms used herein shall carry the meanings given to them in Section 1 (Definitions) of the MSA.

1. Prohibited Uses

You may utilize Canyon Services only for lawful purposes and in accordance with this AUP. You agree not to do the following when utilizing any Canyon Services:

1.1. In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

1.2. For the purpose of exploiting, harming, or attempting to exploit or harm, minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

1.3. To send, knowingly receive, upload, download, use, or re-use any material which violates the rights of any individual or entity established in any jurisdiction.

1.4. To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

1.5. To transmit, knowingly receive or procure the sending of material advocating for hate-related or violent material and/or information advocating for discrimination against individuals or groups.

1.6. To impersonate or attempt to impersonate Canyon, a Canyon employee, another user, or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing).

1.7. Send, upload, distribute or disseminate, or offer to do the same, with respect to unlawful, defamatory, harassing, abusive, fraudulent, infringing, obscene, excessively profane, hateful, violent, or otherwise objectionable material, or promote, support or facilitate unlawful, hateful, discriminatory, or violent causes;

1.8. Access a third party web property for the purposes of web scraping, web crawling, web monitoring, or other similar activity through a web client that does not take commercially reasonable efforts to identify itself via a unique user agent string describing the purpose of the web client and obey the robots exclusion standard (also known as the robots.txt standard), including the crawl-delay directive.

1.9. Remove any copyright, trademark or other proprietary rights notices contained in or on the service or reformat or frame any portion of the web pages that are part of the service's administration display.

1.10. To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Canyon Services, or which, as determined by us, may harm Canyon or users of the Canyon Services or expose them to liability.

1.11. Use the Canyon Services in any manner that could disable, overburden, damage, or impair Canyon’s ability to provide Canyon Services to customers or otherwise interfere with any other party's use of the Canyon Services, including their ability to engage in real time activities through the Canyon Services.

1.12. Use any robot, spider, or other automatic device, process, or means to access the Canyon Services for any purpose, including monitoring or copying any Canyon Services traffic or resources available on the Canyon Services.

1.13. Use any manual process to monitor or copy any Canyon Services traffic or resources available on the Canyon Services or for any other unauthorized purpose without our prior written consent.

1.14. Use any device, software, or routine that interferes with the proper working of the Canyon Services.

1.15. Introduce any viruses, trojan horses, worms, logic bombs, or other software or material which is malicious or technologically harmful.

1.16. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Canyon Services or any server, computer, database, or other resource or element connected to the Canyon Services.

1.17. Violate, attempt to violate, or knowingly facilitate the violation of the security or integrity of the Canyon Services.

1.18. Otherwise attempt to interfere with the proper working of the Canyon Services.

2. AI Acceptable Use

Customers and their users are prohibited from utilizing any Canyon Services, as well as any third-party product, application, or functionality that interoperates with Canyon Services and incorporates Artificial Intelligence, including but not limited to, generative artificial intelligence or machine learning, for the following purposes:

2.1. In automated decision-making processes with legal or similarly significant ramifications, the final decision must involve a human being, and Customer must consider factors beyond the recommendations provided by the Services.

2.2. In generating deceptive or fraudulent content, including (a) the creation of deepfakes intended to deceive or manipulate, (b) producing content that impersonates individuals or misrepresents their identity, (c) misrepresenting content created through automated processes as if it were human-generated or original content, or (d) participating in plagiarism or academic dishonesty.

2.3. In generating (a) malicious code, malware, or other harmful software, (b) creating content that promotes hate speech, violence, discrimination, or child sexual exploitation and abuse, (c) violating privacy or intellectual property rights or laws, (d) violating confidentiality agreements, or (e) otherwise violating applicable law.

2.4. In generating individualized advice of a nature that, in the ordinary course of business, would typically be dispensed by a licensed professional, including but not limited to advice related to financial, legal, or medical matters.

2.5. In political campaigns, including but not limited to (a) the creation, dissemination, or targeting of political advertisements, content, or messaging; (b) soliciting funding for political campaigns, or (c) to influence, manipulate, or sway political opinions, voting behavior, or electoral outcomes.

2.6. Explicitly predicting any individual's protected characteristics, such as racial or ethnic origin, political opinions, religious or philosophical beliefs, age, gender, sexual orientation, disability, health status, medical condition, financial status, trade union membership, criminal convictions, or propensity to engage in criminal behavior.

2.7. In the creation, dissemination, or facilitation or promoting hateful, discriminatory or violence against individuals or groups of people based on certain characteristics. 

2.8. In the creation, dissemination, or facilitation of adult content, adult industry products or services, or dating applications related to adult entertainment.

3. Artificial Intelligence Disclosure

3.1. Customer understands and agrees that Canyon Services, as well as any third-party product, application, or functionality that interoperates with Canyon Services and incorporates Artificial Intelligence are not completely fault-tolerant and are not designed or intended for use in any high-risk applications that could lead to death, serious bodily injury, or catastrophic damage. Accordingly, (a) Customer should not use Services for high-risk applications, (b) any use of the Services by Customer in high-risk applications is at Customer’s own risk, (c) Canyon, its Affiliates and suppliers will not be liable to Customer in any way for use of Service in a high-risk application and (d) Canyon makes no warranties or assurances, express or implied, regarding use of Services in high-risk applications.

3.2. AI systems may inherit biases from the data and Large Language Model (LLM) they are trained on. Customers are reminded to be vigilant about potential biases in AI-generated content or decision-making processes to avoid unintended discrimination or misrepresentation.

3.3. Although AI can automate numerous tasks, human oversight remains essential. Customer bears the responsibility of reviewing and editing AI-generated content to ensure it aligns with the Customer’s voice, values, and quality standards, maintaining the integrity and reputation of the Customer’s organization or institution. 

3.4. AI can provide information to those users, but the veracity of that information is not guaranteed and users are expected to complete independent

verification of any claims made by AI.

3.5. While AI tools offer support, they should not substitute for Customer’s individual creativity, strategic thinking, and intuition, recognizing the importance and value of Customer’s input in decision-making processes is an important part of using the AI Assistant Tool effectively. Customers are encouraged to strike a balance and utilize AI as a tool to enhance, not replace, Customer’s expertise.

4. Content Standards

You agree not to use the Canyon Services to send, knowingly receive, upload, download, use, or re-use any material which:

4.1. Contains any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

4.2. Promotes sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

4.3. Infringes any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

4.4. Violates the legal rights (including the rights of publicity and privacy) of others or contains any material that could give rise to any civil or criminal liability under applicable laws or regulations.

4.5. Is likely to deceive any person.

4.6. Promotes any illegal activity, or advocates, promotes, or assists any unlawful act.

4.7. Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person.

4.8. Impersonates any person, or misrepresents your identity or affiliation with any person or organization.

4.9. Involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.

4.10. Gives the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

5. Content Standards

Canyon, in its sole discretion, will determine whether your conduct is in compliance with this AUP. We have the right to:

5.1. Monitor your use of the Canyon Services for any purpose in our sole discretion and as we see fit.

5.2. Take any action we deem necessary or appropriate in our sole discretion if we believe a user's conduct violates this AUP, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Canyon Services or the public, or could create liability for the Canyon.

5.3. Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

5.4. Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Canyon Services.

5.5. Terminate or suspend your access to all or part of the Canyon Services for any or no reason, including without limitation, any violation of this AUP.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone who accesses or uses the Canyon Services. YOU WAIVE AND HOLD HARMLESS THE CANYON AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A

CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
